Terms of Service

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country, whichever is higher). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your Account

You sign in using Google OAuth. You are responsible for activity on your account and for keeping your Google credentials secure. Notify us promptly if you suspect unauthorized access.

3. The Service

shadowclips lets you generate subtitles, synthesize voice-overs in preset or custom voices, and create fake-chat screenshot reels for short-form video. Features may change over time. We may add, modify, or remove features at our discretion.

4. Acceptable Use

You agree NOT to use the Service to:

• Impersonate any real person, brand, or organization without their express permission, or in a way that is misleading or deceptive.
• Create voice clones of any real person without that person's explicit, verifiable consent. Cloning a public figure's voice without consent is prohibited.
• Generate fake chat screenshots that defame, harass, threaten, or deceive a real, identifiable person.
• Produce sexual, exploitative, or otherwise harmful content involving minors.
• Produce non-consensual intimate imagery or non-consensual sexual content involving any real person.
• Create election-related deepfakes, fabricated quotes, or disinformation designed to mislead the public.
• Infringe anyone's copyright, trademark, publicity, or other rights — including using copyrighted music, character likenesses, or trademarked logos without authorization.
• Commit fraud, run scams, send spam, distribute malware, or violate any applicable law.
• Reverse-engineer, scrape, abuse rate limits, or otherwise interfere with the Service.

5. Voice Cloning — Your Responsibilities

If you upload voice samples to create a custom voice, you represent and warrant that:

• You own the rights to the recording or have obtained explicit, written consent from every speaker featured in it.
• The cloned voice will not be used to impersonate the speaker in a misleading way, to defraud, or to produce content the speaker has not authorized.
• You will clearly disclose AI-generated audio when required by law or by platform policy (for example, TikTok, YouTube, and Instagram's AI-content disclosure rules).

We may remove voice models, suspend access, or terminate accounts where we have reason to believe these representations are false.

6. Character Voices and Likenesses

The Service may offer preset voices that emulate popular character archetypes. These voices are provided for personal creative use. You are responsible for ensuring your use does not infringe third-party trademark, copyright, right-of-publicity, or character likeness rights — for example, by using a character voice in a way that suggests official endorsement, in commercial advertising, or in a context the rights holder has not authorized.

7. Fake Chat Screenshots

Fake-chat reels are designed for entertainment, storytelling, and parody. You agree to:

• Avoid using real, identifiable phone numbers, handles, or names without consent.
• Mark clearly fictional scenarios when the content could plausibly be mistaken for a real conversation.
• Not produce screenshots intended to defraud, blackmail, harass, or manipulate a real person.

8. AI-Generated Content Disclosure

Many jurisdictions and most major social platforms require disclosure when content includes synthetic media. You are responsible for complying with applicable disclosure obligations wherever you publish content created with shadowclips.

9. Your Content

You retain ownership of the content you upload and of the outputs you generate, subject to the rights of any underlying rights holders (e.g., character or voice owners). You grant shadowclips a worldwide, royalty-free license to host, process, transmit, and display your content solely as necessary to operate, secure, and improve the Service. We do not use your content to train general-purpose AI models.

10. Our Intellectual Property

The Service — including software, branding, UI, preset voices, and documentation — is owned by shadowclips or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

11. Third-Party Services

The Service relies on third parties (Google for sign-in, Cloudflare for hosting, Turso for database, AI providers for inference). Your use of those services is subject to their respective terms. We are not responsible for third-party outages, errors, or policy changes.

12. Fees, Trials, and Refunds

Some features may require a paid subscription. Pricing, billing intervals, and refund policies will be disclosed at the point of purchase. Unless required by law, fees are non-refundable. We may change pricing with reasonable advance notice.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms, posed a risk to other users, or exposed us to legal liability. Upon termination, your right to use the Service ends; provisions that by their nature should survive (IP, disclaimers, limitations of liability, indemnification, governing law) will survive.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. AI outputs may be inaccurate, offensive, or unsuitable for your purpose; review before publishing.

15. Limitation of Liability

To the maximum extent permitted by law, shadowclips and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill. Our total liability arising out of or relating to the Service in any 12-month period will not exceed the greater of (a) the fees you paid us during that period or (b) one hundred United States dollars (USD $100).

16. Indemnification

You agree to indemnify and hold harmless shadowclips, its affiliates, and personnel from any claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your violation of these Terms, or your infringement of any third-party right — including any claim arising from voice cloning or fake-chat content you create.

17. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts located in Mumbai, Maharashtra, India will have exclusive jurisdiction over any dispute, except where applicable law grants you the right to bring a claim in your local courts.

18. Changes to these Terms

We may update these Terms. If we make material changes, we will notify you in-app or by email before they take effect. Your continued use of the Service after changes become effective constitutes acceptance.
